These Terms and Conditions (the “Terms”) form a binding agreement between you (“you,” “your,” or “User”) and Green Room (“Green Room,” “we,” “our,” or “us”) governing your access to and use of the Green Room mobile-web application, websites, and related services (collectively, the “Service”).
Read these Terms carefully. By accessing, registering for, or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Green Room is a curation-first invitation and guest-list platform that enables event hosts to invite guests by SMS, manage RSVPs, tag and group invitees, organize invitations in waves, and host a single per-event group chat. The Service is delivered via mobile-web and is currently offered as an early-access, pre-release product. Functionality, availability, and look and feel may change without notice as we iterate.
2. Eligibility
You must be at least eighteen (18) years of age to register for or use the Service. By using the Service, you represent and warrant that (a) you are at least 18; (b) you have the legal capacity to enter into these Terms; (c) your use of the Service complies with all laws applicable to you; and (d) you have not previously been suspended or removed from the Service.
3. Accounts and Phone Verification
The Service authenticates users by mobile telephone number. To use the Service, you must provide a valid mobile telephone number that you own or are otherwise authorized to use, and you must complete a one-time SMS verification at your first action. You are responsible for the accuracy of the information you provide and for maintaining control of the device and telephone number associated with your account. You must promptly notify us if you suspect unauthorized use of your account. We are not liable for any loss arising from your failure to safeguard your verification codes or telephone number.
4. SMS and Electronic Communications
By providing your mobile telephone number and using the Service, you expressly consent to receive transactional and service-related text messages from Green Room and from event hosts using the Service, including without limitation invitations, RSVP confirmations, verification codes, wave notices, event updates, and chat-related notifications. Message and data rates may apply from your wireless carrier. Message frequency varies based on event activity. To stop receiving non-essential messages, reply STOP to any such message; replying STOP may also disable verification-dependent features. For help, reply HELP. We are not liable for charges imposed by your carrier or for delays, non-delivery, or errors caused by third-party networks. Carriers are not liable for delayed or undelivered messages.
5. Roles: Hosts and Guests
The Service supports two principal roles:
(a) Hosts. A Host creates events, uploads or seeds guest information, applies tags, manages wave invitations, sends SMS, and moderates an event group chat. Hosts are solely responsible for the lawfulness of their events, the truthfulness of event details, the conduct of their guests, compliance with venue and licensing requirements, and the lawful basis on which they have collected and uploaded any contact information.
(b) Guests. A Guest receives invitations via SMS, may RSVP, may view confirmed-guest information shared by the Host, and may participate in the event group chat. Guests are responsible for their own conduct, the accuracy of their RSVP, and compliance with these Terms.
You may act in both roles at different times. The role applicable to a given action determines the obligations that attach to it.
7. AI-Assisted Tagging
The Service uses automated and machine-learning tools to suggest demographic tags — including, at present, a gender-likelihood label derived from the first name of each invitee. These suggestions are heuristic, may be inaccurate (particularly across languages and naming conventions), and are intended solely as a private organizational aid for the Host. AI-suggested tags are visible only to the originating Host, are user-overridable, and are not displayed to guests or to other Hosts. Green Room makes no representation as to the accuracy of any AI-generated suggestion. You agree not to rely on AI suggestions to make decisions with legal, employment, credit, insurance, or other consequential effect.
8. User Content
“User Content” means any content you submit, upload, transmit, or display through the Service, including without limitation event titles, descriptions, images, guest names, tags, RSVP responses, group-chat messages, and reactions. As between you and Green Room, you retain ownership of your User Content. You grant Green Room a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable license to host, store, reproduce, modify (for technical purposes), transmit, display, and otherwise process your User Content solely as necessary to operate, secure, maintain, and improve the Service. You represent and warrant that you own or have all necessary rights to your User Content and that your User Content does not infringe any third-party right or violate any law.
9. Acceptable Use
You agree that you will not, and will not permit any other person to:
- use the Service to send unsolicited commercial messages, “spam,” or any communication that violates the Telephone Consumer Protection Act, CAN-SPAM, or any analogous law;
- use the Service to organize, promote, or facilitate any illegal event, illegal substance distribution, human trafficking, prostitution, gambling, or other unlawful activity;
- post or transmit content that is unlawful, defamatory, threatening, harassing, hateful, discriminatory, obscene, or sexually exploitative of any minor;
- impersonate any person, misrepresent your affiliation with any person or entity, or upload contact data of any individual you are not authorized to contact;
- attempt to access any account, system, or data not authorized to you, including by means of scraping, automated agents, reverse engineering, or circumvention of access controls;
- interfere with, overload, or disrupt the Service or any server or network connected to the Service;
- export, mirror, or commercialize the Service or any User Content of another person without our prior written consent; or
- use the Service in any manner that exposes Green Room or its other users to legal, regulatory, or reputational harm.
We may, but are not obligated to, monitor User Content and may remove or restrict any content or account that we reasonably believe violates these Terms.
10. Group Chat and Moderation
Each event includes a single Host-moderated group chat. Hosts may pin, hide, or remove messages and may remove participants. Green Room may also remove content or suspend access where we reasonably believe a violation of these Terms has occurred. Chats are intended for event-related communication; do not share sensitive personal information (such as identity documents, financial credentials, or medical information) in a chat.
11. Events Are Run by Hosts, Not by Green Room
Green Room provides software for sending invitations and coordinating guest lists. We are not the organizer, promoter, producer, host, sponsor, venue operator, security provider, or insurer of any event. We do not screen, vet, or guarantee Hosts, Guests, venues, or event content. Your attendance at any event is at your own risk. You acknowledge that Green Room is not responsible for any injury, loss, damage, dispute, or claim arising at, before, or after any event, including any conduct of Hosts or other Guests, and you release Green Room from any such claim to the maximum extent permitted by law.
12. No Payments at This Time
The Service does not, at present, process ticket sales, donations, or other payments. If and when payment features are introduced, additional terms (including fees and processor terms) will apply and will be presented for your acceptance before any charge is made.
13. Privacy
We process personal information as described in our Privacy Notice (to be made available within the Service). At minimum, we process mobile telephone numbers, names, tags applied by Hosts, RSVP status, event metadata, and group-chat content as necessary to operate the Service. We do not sell personal information. By using the Service, you consent to our processing of personal information as described in the Privacy Notice and these Terms.
14. Intellectual Property
The Service, including all software, design, text, graphics, the Green Room name and logo, and the velvet visual system, is owned by Green Room or its licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. No other right or license is granted by implication, estoppel, or otherwise.
15. Feedback
Any feedback, suggestion, or idea you submit regarding the Service is provided non-confidentially. You grant Green Room a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and exploit such feedback without restriction or compensation.
16. Third-Party Services
The Service may integrate with third-party services, including SMS gateways, network providers, and analytics tools. We are not responsible for the acts or omissions of any third-party provider. Your use of any third-party service is governed by that provider's terms.
17. Early Access; No Warranty
The Service is provided “as is” and “as available” without warranty of any kind, whether express, implied, statutory, or otherwise. Green Room expressly disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy of AI-generated suggestions, uninterrupted operation, and security. Without limiting the foregoing, Green Room does not warrant that the Service will be free of errors, that any SMS will be delivered, that any event will reach capacity, that any room composition will be achieved, or that any data will be preserved.
18. Limitation of Liability
To the maximum extent permitted by law, in no event will Green Room or its officers, directors, employees, contractors, or agents be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, lost data, business interruption, or substitute-service costs, arising out of or relating to the Service or these Terms, whether in contract, tort, statute, or otherwise, even if advised of the possibility of such damages. Green Room's aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) one hundred U.S. dollars (US$100) or (b) the amount you paid to Green Room in the six (6) months preceding the event giving rise to the claim. The foregoing limitations apply notwithstanding any failure of essential purpose of any limited remedy and form an essential basis of the bargain between you and Green Room.
19. Indemnification
You agree to defend, indemnify, and hold harmless Green Room and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your User Content, (b) your contact uploads or SMS sent through the Service at your direction, (c) any event you host or attend, (d) your breach of these Terms, or (e) your violation of any law or the right of any third party.
20. Suspension and Termination
We may suspend or terminate your access to all or any part of the Service at any time, with or without notice and with or without cause, including for any actual or suspected violation of these Terms. You may terminate your account at any time by following the in-app account-deletion flow or by contacting us. Sections 6, 8, 11, 14, 15, 17, 18, 19, 21, and 22 survive termination.
21. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation will be submitted to binding individual arbitration administered in King County, Washington, in the English language. You and Green Room waive any right to participate in a class action or class-wide arbitration. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
22. Modifications to These Terms
We may modify these Terms from time to time. If we make material changes, we will notify you through the Service or by SMS to the telephone number on file. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
23. Miscellaneous
These Terms, together with any policies referenced herein, constitute the entire agreement between you and Green Room concerning the Service and supersede all prior agreements on the subject. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction. No agency, partnership, joint venture, or employment relationship is created by these Terms.
